百濟神州(06160.HK)宣佈價值約為20.8億美元的註冊直接發行定價

北京時間2020年7月13日，百濟神州(納斯達克代碼：BGNE；香港聯交所代碼：06160)，是一家處於商業階段的生物科技公司，專注於用於癌症治療的創新型分子靶向和腫瘤免疫藥物的開發和商業化。公司今日宣佈向特定現有投資者以註冊直接發行的方式發行145,838,979股每股面值0.0001美元普通股的定價。
每股普通股以14.2308美元的購買價出售，相當於每股美國存托股份(ADS)185美元，發行總收入約為20.8億美元，扣除發行費用後的淨收入為20.7億美元。此次發行沒有包銷商或配售代理，因此公司無需就此發行支付包銷折扣。
在符合慣常交割條件的情況下，該發行預計將於2020年7月15日前後完成。百濟神州計劃將此次發行產生的淨收入投入至公司營運資金及其他一般公司用途，具體細節將於就此次發行而提交的招股書補充説明書中公佈。
普通股的發行系根據於2020年5月11日向美國證券交易委員會(SEC)提交的自動生效的暫擱註冊説明書。此次發行相關的招股書補充説明書將提交至SEC並可於SEC官網www.sec.gov查看。
瑞信銀行(Credit Suisse)擔任百濟神州董事會定價委員會此次發行的公司財務顧問，高贏國際律師事務所(Goodwin Procter LLP)擔任百濟神州此次發行的法律顧問。
