北控醫療健康(02389.HK)擬以貸款資本化方式收購物業資產
格隆匯 7 月 9日丨北控醫療健康(02389.HK)發佈公告，2020年7月9日，公司與目標公司訂立上市公司貸款資本化協議，據此，貸款的尚未償付本金額1340萬加元及其累計利息將資本化為上市公司資本化股份，以發行予公司或其代名人。
上市公司資本化股份將佔目標公司經發行上市公司資本化股份及其他資本化股份擴大後的已發行股份總數的47.47%。完成後，集團將以認購上市公司資本化股份方式收購目標公司的47.47%股權。
於該公告日期，目標公司(1121695 BC Ltd.，一間不列顛哥倫比亞公司)為金富北美不動產投資有限公司擁有78.4%權益的附屬公司，而金富由公司執行董事祝仕興、公司執行董事劉學恆及公司執行董事顧善超分別持有25.5%、25.5%及28.1%權益。目標公司的主要資產為該物業。
集團已就收購該物業初步向金富提供貸款，其後則更替其於貸款項下的責任予目標公司，該物業已按原有成本5000萬加元收購。於該公告日期，目標公司的主要資產為該物業。該物業位於140 Sixth Street, New Westminster, British Columbia, Canada，為一個多用途的綜合體，包括一幢共有135個單位的公寓樓宇、2.085萬平方尺的商業空間及1.1英畝的高密度發展用地。於2020年6月2日，經獨立估值師評估的該物業的公平值為7045萬加元。
認購價每股上市公司資本化股份2.09加元較目標公司每股股份於2020年5月31日的經調整資產淨值約2.46加元折讓約15%。待上市公司貸款資本化協議及其他貸款資本化協議完成後，目標公司將由集團、遇先生各方及金富分別持有47.47%、21.85%及30.68%權益。
