融眾金融(03963.HK)擬3264萬港元收購安華理達風險資產管理51%股權
格隆匯6月26日丨融眾金融(03963.HK)公告，於2020年6月22日，公司作為買方、多名賣方、潘衞思先生及黎建輝先生訂立買賣協議，買方有條件同意收購目標公司安華理達風險資產管理有限公司51%股權，代價為3264萬港元，每股代價股份發行價為0.33港元，較6月26日收市價每股0.36港元折讓約8.33%。代價股份最多為9891萬股，約佔公司已發行股本23.98%及約佔經配發擴大後公司已發行股本19.34%。
於本公告日期，目標公司為一家於香港註冊成立的有限公司，連同其附屬公司主要在中國、香港及新加坡從事提供債務及應收賬款管理和追討服務。安華（廣州）為一家於中國註冊成立的有限責任公司，主要從事提供諮詢、徵信調查及分析服務，在中國廣州、北京、上海、成都、杭州、廈門、青島、南京及重慶設有分支機構。立濤為一家於香港註冊成立的暫無營業有限公司。安華（新加坡）為於新加坡註冊成立的有限公司，主要業務為提供債務追討服務。目標集團及安華理達等其他聯屬公司一直以安華理達的名義向客户提供一站式解決方案服務，通過提供法律及債務追討服務，專注於解決客户的應收款項及不良貸款問題。
公司稱，訂立承諾函及主合作協議將使目標集團能夠從安華理達需要收債服務的若干客户獲得獨家地位。除目標集團的現有客户基礎以外，預期此舉亦將使目標集團的客户基礎多樣化並擴大其收入來源。於完成後取得股東貸款後，目標集團計劃通過增聘員工提升其一站式收債服務及╱或在台灣及吉隆坡設立新的地區辦事處而擴展其業務。加上目標集團不斷努力擴大客户組合並使其多元化，以及擴展債務追討服務業內之機會，預計目標集團將於未來年度擴闊收入基礎。
