中國財險(02328.HK)參與投資國家中小企業發展基金 將認繳出資2億元
格隆匯 6 月 19日丨中國財險(02328.HK)發佈公告，2020年6月19日，公司與人保壽險、人保健康及其他非關連方發起人簽訂發起人協議，各方同意共同發起設立國家中小企業發展基金有限公司，公司將以2億元人民幣認繳出資，持股比例為0.56%。
根據披露，訂約方包括人保壽險、人保健康、財政部、上海國盛(集團)有限公司、中國煙草總公司、上海浦東科創集團有限公司、中國人壽保險股份有限公司、上海申能誠毅股權投資有限公司、成都市產業引導股權投資基金有限公司、民生加銀資產管理有限公司、北京賽普工信投資管理有限公司、中國工信出版傳媒集團有限責任公司、合肥南方國正創業投資合夥企業(有限合夥)及易方達資產管理有限公司。
根據發起人協議，國家中小企業發展基金有限公司(以企業登記機關最終核准的名稱為準)是一家將於中國成立的有限責任公司，註冊資本為357.5億元人民幣，第一大股東為財政部，持股比例為42.66%。人保壽險、人保健康及公司將分別認繳出資，持股比例分別為0.84%、0.28%及0.56%。國家中小企業發展基金有限公司具有法人資格，以其全部財產對其債務承擔責任。國家中小企業發展基金有限公司的經營範圍為：股權投資、投資管理、項目投資、投資諮詢(最終經營範圍以企業登記機關最終核准登記的內容為準)。
公告表示，本次參與投資國家中小企業發展基金有限公司對公司具有較強的戰略性投資價值。同時，國家中小企業發展基金有限公司的投資策略以參股子基金為主，投資充分分散，整體風險可控，且在收益分配方面對包括公司在內的社會資本較為有利。董事會(包括獨立非執行董事)認為本交易按一般商務條款進行，條款公平合理，並符合公司及股東整體利益。
