依利安达(01151.HK)：要约人及一致行动人合计持股达90.26%
格隆汇6月19日丨依利安达(01151.HK)公布，根据要约人可得资料，于2020年6月18日下午5时正(新加坡时间)，(a)要约人及其一致行动人士于要约公告日期所持有，(b)要约人及其一致行动人士于要约公告日期后及直至2020年6月18日下午5时正(新加坡时间)所收购或同意收购(根据有效要约接纳文件除外)，及(c)自新加坡股东及香港股东有效要约收到接纳的股份总数合共约为1.69亿股股份，接获占已发行股份总数约90.26%。
然而，股东务请注意要约须待条件(即于截止日期下午4时正(或要约人根据香港收购守则及新加坡并购守则规则可能厘定的较后日期或时间)前就有关股份数目接获有效要约接纳文件(且在准许的情况下并未撤销)，根据香港收购守则规则及新加坡公司法，其将使要约人有权强制从不接纳要约的股东收购全部剩余要约股份)达成后，方可作实。
因此，根据条件，要约人及其一致行动人士必须收购(包括以有效接纳要约方式)的股份数目，连同要约人及其一致动人士所拥有或控制的股份合共将约为1.82亿股(占已发行股份总数的97.59%)，使要约人有权强制自不接纳要约的股东收购全部剩余要约股份。因此，要约人及其一致行动人士必须于截止日期前收购(包括以有效接纳要约方式)并非要约人及其一致行动人士持有的约1370.10万股额外股份，方能达成条件。
股东亦请注意，倘条件获达成，依利安达将不再符合新加坡公众持股量规定，其规定公众人士不时须持有其已发行股份总数最少10%(不包括库存股份)。因此，新交所将由截止日期起暂停在新交所买卖股份。港交所表示，倘于要约截止时，公众人士的持股比例低于依利安达适用的规定最低百分比(即已发行股份的25%)，或倘港交所认为(i)股份交易存在或可能存在虚假市场；或(ii)公众人士持有的股份不足以维持有秩序的市场，则其将考虑行使酌情权暂停股份在新交所的交易。
值得注意的是，于2020年6月26日下午4时正(或要约人或代表要约人根据香港收购守则及新加坡并购守则规则可能不时公告的较后日期)前，要约仍然可供接纳。
