華興資本控股(01911.HK)：因中國監管變動終止承諾
格隆匯 6 月 15日丨 華興資本控股(01911.HK)公佈，2015年1月19日，中國商務部頒佈外國投資法草案，旨在於實施後取代當時中國規管外國投資的現行法律法規。
外國投資法草案應用"實際控制"原則釐定一間公司是否為外商投資，並因此須遵守外商投資限制。外國投資法草案將"實際控制"界定為可通過投資安排、合約安排或其他權利及決策安排控制一間企業的權力或地位。外國投資法草案亦規定在外國司法權區組成但經相關中國政府部門批准由中國公民"控制"的實體將會視為中國境內投資者。
根據外國投資法草案，CR Partners會被視為透過合約安排對公司的經營實體擁有實際控制權，而須受限於外商投資限制。
由於外國投資法草案是否或何時頒佈，或是否會以外國投資法草案的形式頒佈當時尚未確定，公司已採納多項措施以應對外國投資法草案項下與國籍有關的所有權的潛在限制。有關措施載列於招股章程第207至213頁。該等措施包括CR Partners對公司及聯交所作出該承諾(其中包括)：於CR Partners仍為公司控股股東期間，CR Partners將確保CRPartners董事會的大多數成員將為中國公民，以遵守外國投資法草案項下的"控制"規定。
該承諾將維持生效直至以下情況發生為止(其中包括)：最終頒佈的新外國投資法或適用外國投資法並無需要遵守相關規定且聯交所對此給予同意。
於2019年3月15日，中國全國人民代表大會採納已頒佈外國投資法，其自2020年1月1日生效。就此而言，公司已獲取其中國法律顧問的建議，包括(i)已頒佈外國投資法並無載有根據外國投資法草案所擬議將合約安排指定為一種外國投資形式的任何意圖或規定；(ii)已頒佈外國投資法並無規定CRPartners須由中國實體及╱或公民控制；及(iii)擬議終止該承諾不會影響合約安排的合法性、有效性及可執行性。因此，已頒佈外國投資法不再要求遵守該承諾下的實際承諾。
監於上文所述，由於已頒佈外國投資法並無載有該承諾擬應對的與國籍有關的所有權限制，公司已尋求並獲得聯交所同意終止該承諾。因此，該承諾已經被終止及不再有效。
