正通汽車(01728.HK)採納限制性股份獎勵計劃
格隆匯6月14日丨正通汽車(01728.HK)公佈，董事會欣然宣佈其於2020年6月12日已議決採納計劃，以(其中包括)確認參與者的貢獻，激勵及挽留參與者，並吸引人才加入集團。除計劃規則規定的提前終止外，計劃自採納日期起初步有效及生效為期十年。
根據計劃管理的股份總數目及根據計劃作出的相關所有獎授(不包括獲得權利根據計劃已獲解除或失效的股份)合共不得超過公司於採納日期的已發行股份的5%。於採納日期，可授予個別經甄選參與者的獎授股份最大數量不得超過已發行股份的1%。
就實施及管理計劃而言，公司根據信託契據委任中銀國際英國保誠信託有限公司作為受託人。2020年6月12日，董事會議決合共5000萬股獎授股份將發行及配發予受託人，其應僅為所有或一名或以上經甄選參與者及╱或計劃項下合資格獲獎授的人士為受益人透過信託方式持有上述股份。
基於薪酬委員會的建議，董事會(包括全體獨立非執行董事)已決議根據計劃的條款有條件授出合共4710萬股獎授股份予40名經甄選參與者。4710萬股獎授股份中，(i)3570萬股獎授股份乃授予37名非關連經甄選參與者(均為不屬公司關連人士的集團獨立僱員)；及(ii)1140萬股獎授股份乃授予3名關連經甄選參與者(為公司執行董事)，因此，彼等為公司關連人士。上述將予發行並由受託人透過信託方式持有的5000萬股獎授股份將用於滿足4710萬股獎授股份及董事會可能不時作出的未來獎授的歸屬。
董事會進一步決議，(i)3860萬股獎授股份(包括授予37名非關連經甄選參與者的3570萬股獎授股份)將通過根據2020年一般授權向受託人配發及發行繳足或入賬列為繳足的新股份而結算；及(ii)授予3名關連經甄選參與者的1140萬股獎授股份將通過根據特別授權向受託人配發及發行繳足或入賬列為繳足的新股份而結算。
假設公司向經甄選參與者配發及發行合共5000萬股獎授股份，則該等獎授股份佔(i)公告日期已發行股份總數的約2.04%；及(ii)經該配發與發行擴大的已發行股份總數的約2.00%，惟假設自公告日期起直至新股份配發日期，公司已發行股份數目並無變動(配發及發行新獎授股份除外)。
