億達中國(03639.HK)擬收購合營公司75%股權及服務公司50%股權

格隆匯5月17日丨億達中國(03639.HK)宣佈,於2020年5月16日,公司、億達管理及億達發展(作為訂約一方);住友不動產及須美府(上海)(作為訂約一方);合營公司(作為訂約一方);及有限合夥公司1(作為訂約一方),訂立框架協議,以應付住友不動產人民幣30.3億元的代價透過一系列交易或安排(其中包括第一階段收購事項)完成第二階段收購事項。根據交易文件所述,集團將自合營公司獲得融資,並將出資人民幣4.3億元,而東方將透過一系列交易或安排為集團提供資金人民幣26億元,以收購住友不動產於公告日期持有的合營公司75%股權。

據悉,合營公司為一間於中國成立的中外合資企業,業務範圍涵蓋房地產開發、建造、銷售、租賃及相關服務。合營公司由住友不動產擁有75%及由億達管理擁有25%。

合營公司於大連市中山區核心地帶擁有一項住宅物業發展項目,生活資源豐富。項目佔地面積約9.6萬平方米,總建築面積501,006平方米。該項目包括住宅單位、公寓、零售商舖及地下車庫。根據現行發展計劃,預期該項目將於2023年完成銷售和交付。服務公司為一間在中國成立的有限公司,業務範圍涵蓋提供物業管理服務,於收購事項前由億達服務及住友不動產分別持有50%。

進行該等交易的主要目的為收購由住友不動產持有的合營公司75%股權及服務公司50%股權。

合營公司的主要資產為住宅物業發展項目,包括(其中包括)住宅單位、公寓及零售商舖,項目一期已完成,項目二期亦已可啟動開發,董事認為,為實現其於該項目的回報並提高合營公司的經營效益,集團透過該等交易將可迅速增加其土地資源並全面控制項目發展及銷售。由於服務公司一直提供與合營公司所持有項目物業單位相關的物業管理服務,董事認為,全面控制服務公司的物業管理服務業務將可提高服務公司的經營效益。
