WAC HOLDINGS(08619.HK)建立VIE安排 打造互聯網社羣新零售平台
格隆匯4月29日丨WAC HOLDINGS(08619.HK)公佈，於2020年4月29日，公司間接全資附屬早團數據及舟濟網絡(由吳芳雲全資擁有)訂立服務協議，且早團數據、吳芳雲及舟濟網絡訂立獨家購買權協議、股東權利委託協議及授權書以及股權質押協議，以建立VIE安排。VIE安排使早團數據能夠有效控制舟濟網絡(一間營運社羣電商新零售網絡平台"早團APP"(包括移動應用程式及小程式)的公司，為用户提供精選健康好物及優惠省錢導購，亦提供專業的健康管理解決方案以及在線教育解決方案，以改善用户整體健康生活質量和教育水平)的營運以及全部經濟利益及效益。除移動應用程式業務外，舟濟網絡亦致力於為線上及線下企業用户通過電子商務解決方案(亦稱為SaaS(軟件即服務))打造一個新社羣零售營銷平台，不但能通過平台吸引消費者，亦能通過平台開發的各種營銷功能引流更多消費者線下消費，打造基於用户社交體系、品牌社羣體系、營銷功能體系的互聯網社羣新零售平台。於VIE安排成立後，舟濟網絡的財務業績將合併至集團的財務報表內，猶如舟濟網絡已成為公司的附屬公司。
集團採用VIE安排的主要目的是使集團能夠在中國從事擬進行業務，從而進一步擴展集團在該業務分部的範圍，並擴大集團的客户基礎。然而，由於下文概述的中國法律對外國投資的限制，集團無法在未首次採用VIE安排的情況下直接從事擬進行業務。
為遵守中國法律，VIE協議由早團數據、吳芳雲及舟濟網絡訂立。透過VIE安排，儘管早團數據並無進行股權登記，但將有效控制舟濟網絡的財務及營運，並享有舟濟網絡產生的全部經濟利益及效益。
