佳兆業健康(00876.HK)訂立兩份合作協議 進一步拓展其健康板塊業務
格隆匯4月22日丨佳兆業健康(00876.HK)宣佈，公司全資附屬公司美加健康分別於2020年4月9日與珠海十里蓮江開發，及於2020年4月10日與美邸養老上海各自訂立合作協議，以進一步拓展其健康板塊業務。
於2020年4月9日，公司全資附屬公司美加健康與珠海十里蓮江開發訂立合作協議，據此，訂約方同意彼此合作，共同發展及經營位於中國珠海的十里蓮江項目，該項目為結集健康護理、現代種植、農業觀光、文創、科學教育及鄉村休閒為一體的一站式國際康養項目。於簽訂珠海十里蓮江合作協議前，珠海十里蓮江開發已獲得有關珠海十里蓮江項目當中的牀位加早餐旅館、餐飲及農耕體驗園的經營權以及珠海十里蓮江項目土地建設的管理權。
根據珠海十里蓮江合作協議，訂約方將成立一家合營企業，預期由美加健康持有55%及由珠海十里蓮江開發持有45%。合營企業將持有與珠海十里蓮江項目有關的資產並經營康養開發業務。另一方面，珠海十里蓮江開發將利用其與當地政府的地方脈絡及關係，致力為珠海十里蓮江項目取得更多國有建設地塊。合營企業的營運首先由其可能不時獲得的任何外部融資撥付，倘合營企業未能獲得外部融資，則美加健康及珠海十里蓮江開發作為合營企業股東，將在適當時按照各自在合營企業的權益比例提供股東貸款。
於2020年4月10日，美加健康亦與美邸養老上海訂立戰略合作協議，旨在共同發展一個廣獲國內外認可的保健產業平台。根據美邸養老合作協議，美加健康與美邸養老上海同意共同在中國深圳成立一家醫療保健運營管理公司，及從事健康、保健、長者及相關房地產項目的運營及管理業務。該等項目類型涵蓋健康管理中心、高端長者公寓、復康醫院、療養院、日間護理中心、連鎖家庭護理或家庭護理網點、長者及保健產品銷售、健康管理服務、包含復康服務在內的健身房、旅遊、體檢、餐飲及長者生活服務項目等。
預期管理公司將由美加健康持有60％及由美邸養老上海持有40％。美加健康將主要負責與中國當地政府部門聯繫，以獲取管理公司運營的所有必要許可證，而美邸養老上海將負責管理公司的戰略發展規劃、日常營運及其他專業範疇的管理工作。
訂立珠海十里蓮江合作協議及美邸養老合作協議(統稱為"該等合作協議")旨在全面利用並結合珠海十里蓮江開發及美邸養老上海與公司的獨有優勢，進一步拓展公司的健康板塊業務。預期憑藉訂約方在各自特定領域的優勢，訂約方將能更好抓住市場的巨大機遇，實現互利共贏。
