SDM Group(08363.HK)擬重組舞蹈學院業務
格隆匯4月17日丨SDM Group(08363.HK)宣佈，於2020年4月17日，公司全資附屬SDM Management Limited擬向合營夥伴洪誠明出售輝同50%權益，隨後洪誠明同意向公司另一全資附屬SDM Academie Limited出售輝同的有關業務及該等財產。
此外，SDM Management Limited擬向洪誠明收購佳盟剩餘50%權益。上述交易的總代價合共600萬港元，將有公司按每股1.50港元配發400萬股代價股份的方式結清及清償。
據悉，輝同的核心業務為在其九龍塘舞蹈中心向兒童提供爵士舞及芭蕾舞課程以及籌備及舉辦相關活動。於公告日期，輝同在九龍塘以商號經營輝同舞蹈中心。
佳盟的唯一業務為在其元朗及粉嶺的舞蹈中心向兒童提供爵士舞及芭蕾舞課程以及籌備及舉辦相關活動。於公告日期，佳盟在元朗及粉嶺以商號經營佳盟舞蹈中心。
集團與洪誠明洪誠明已於多年前在輝同及佳盟建立業務關係。洪先生與集團的合作旨在為洪誠明及其團隊於以輝同及佳盟經營的舞蹈中心提供其他教育課程時創造協同效應。經過多年發展所見，學生更樂意專注於集團提供的舞蹈課程。收購事項I、收購事項II及出售事項已視作為以佳盟及輝同經營的舞蹈中心進行的業務重組及控制權及整體管理權整合。預期公司將於整體完成後進一步擴展舞蹈學院業務並提升其在香港舞蹈學院界的市場份額，而這可進一步提升集團的競爭力及盈利能力。
