维信金科(02003.HK)拟配发及发行6亿股认购股份 4月6日起复牌
格隆汇4月5日丨维信金科(02003.HK)发布公告，2020年3月26日，公司(作为发行人)、Allied Concept Capital Limited(作为认购人)及郁国祥(作为认购人义务的担保人)订立认购协议，据此，认公司同意配发及发行合共6亿股认购股份，认购价为每股认购股份6.60港元，总认购金额为39.6亿港元，而郁国祥同意就认购人妥为履行其于认购协议下的义务作出担保。
认购股份约相当于公司现有发行股本的120.19%，及公司经股份扩大已发行股本的54.58%。每股认购股份6.60港元认购价较3月25日收市价6.39港元溢价约3.29%。公司将向联交所上市委员会申请批准认购股份上市及买卖。
根据披露，Allied Concept Capital Limited(联盛资本有限公司)为一间根据英属处女群岛注册成立的有限公司，由郁国祥间接全资拥有。郁国祥是一位经验丰富的投资者，在基础设施运营、旅游、房地产开发、文化和娱乐等多个行业的投资方面拥有20多年的经验。郁国祥目前是乐游科技控股(01089.HK)的控股股东。郁国祥并无投资或管理与集团所从事业务类似的业务的直接经验，亦无意在可预见的未来成为公司的董事。
此外，为供应认购股份，董事会建议通过增设额外8.5亿股在所有方面均与现有股份享有同等地位的新股份，将公司的法定股本从8500万港元(分为8.5亿股股份)，增至1.7亿港元(分为17亿股股份)。将于股东特别大会上提呈决议案，以供股东考虑及酌情批准增加法定股本。
应公司要求，股份及优先票据自2020年3月26日上午九时正起暂停买卖。公司已申请自2020年4月6日上午九时正起恢复股份及优先票据于联交所买卖。
