德泰新能源集團(00559.HK):擬間接收購塞班物業 代價將以抵銷債務方式支付

格隆匯3月22日丨德泰新能源集團(00559.HK)公佈,公司於2019年3月24日公告披露,內容關於根據貸款協議提供本金額為5135萬港元的貸款。

公告日期,根據貸款協議,賣方博華太平洋(01076.HK)欠公司間接全資附屬德泰財務的債務為5542.42萬港元,其中未償還的貸款本金額為5135萬港元及應計利息為407.42萬港元。

2020年3月20日,為促進收購事項,德泰財務與賣方訂立延長函件,據此,德泰財務同意將貸款的未償還本金額5135萬港元連同所有當時應計的未償還利息及根據貸款協議應付及未償還的所有其他款項的還款日期延長至2020年7月31日或買賣協議失效、終止或完成日期(以較早者為準)。

除延長還款日期外,貸款協議的所有其他條款及條文維持不變,並具有十足效力及效用。

另外,同日,公司與賣方訂立買賣協議,據此,公司向賣方收購相當於完成增加已發行股本後及完成時目標公司彩殿投資有限公司全部已發行股本的70%及銷售貸款,代價為5400萬港元。

公司應於完成時以抵銷方式向賣方支付代價。為促進抵銷,德泰財務將於完成時將部分債務5400萬港元轉讓予公司。

預計於完成前,目標集團將進行債務重組,據此,目標集團將進行一系列債務轉讓及更替,以使目標集團的任何成員公司目前結欠賣方或賣方的任何附屬公司或聯營公司的所有負債、責任及債項將獲轉讓及更替,故所有有關負債、責任及債項將由目標公司結欠賣方。

目標公司是一間於英屬處女羣島註冊成立的有限公司,並於公告日期為賣方的直接全資附屬公司。目標公司的主要業務為投資控股。目標公司為Colour PalaceCNMI(一間於北馬裏亞納羣島自由邦註冊成立的有限公司)的唯一註冊及實益擁有人,併為塞班物業的租賃權益持有人。

塞班物業A包括一個低層住宅開發項目,可容納60個住宅公寓單元,並配備如餐廳、辦公室物業、倉庫等配套設施。其佔地面積約為19999平方米,總建築面積約為7491平方米。塞班物業A的大部分物業均為業主自用,而餐廳及數個辦公室單位被空置。

鑑於集團目前從事酒店接待業務,因此收購目標公司,及間接收購其上豎立若干公寓及商業物業而可獲得租金收入的塞班物業A,與集團業務重心一致。延長將促進收購事項,而貸款將於完成前繼續為集團帶來利息收入。

完成後,集團擬以投資為目的持有並出租塞班物業A以賺取租金收入。因此,預期塞班物業A產生的租金收入將為集團提供另一穩定收入來源。根據總代價5400萬港元及每年租金收入76.08萬美元(相等於約590.38萬港元),年化收益率將約為10.9%。收購事項亦將為集團提供資本增值潛力。
