华侨城(亚洲)(03366.HK)携手东莞产业投资、松山湖创业投资及东莞产业并购成立合营公司
格隆汇3月6日丨华侨城(亚洲)(03366.HK)公告，于2020年3月6日，深圳华侨城华鑫及深圳华友(两者均为公司的间接全资附属公司)与东莞产业投资、松山湖创业投资及东莞产业并购就以投资为目的而成立合伙企业订立有限合伙协议。
所有合伙人对合伙企业认缴的出资总额为人民币3亿元。深圳华侨城华鑫、深圳华友、东莞产业投资、松山湖创业投资及东莞产业并购认缴的出资额分别为人民币3,00万元、人民币1.32亿元、人民币7500万元、人民币6000万元及人民币3000万元。深圳华侨城华鑫为合伙企业的普通合伙人，而深圳华友、东莞产业投资、松山湖创业投资及东莞产业并购为合伙企业的有限合伙人。
东莞产业投资为根据中国法律成立的有限公司，并由东莞市人民政府国有资产监督管理委员会最终实益拥有。其主要从事股权及债务投资、基金管理、投资管理及投资顾问。
松山湖创业投资为根据中国法律成立的有限公司，并由广东省人民政府及东莞松山湖高新技术产业开发区管理委员会最终实益拥有。其主要从事股权投资、创业投资、投资顾问以及基金投资及管理。
东莞产业并购为根据中国法律成立的有限合伙企业。其分别由东莞民投投资控股集团有限公司、东莞资本产业及中金资本运营有限公司持有66.666%、33.333%及0.001%权益。东莞投资控股由东莞民营投资集团有限公司全资拥有，而其为由多间公司拥有的私人有限公司，该等公司全部均为独立第三方，各公司持有东莞民营投资集团有限公司不多于5%权益。东莞资本产业由东莞国有资产及管理委员会最终实益拥有。中金资本运营有限公司为中国国际金融股份有限公司全资附属公司，而中国国际金融股份有限公司股份于联交所主板上市(股份代号：03908)。其主要从事股权投资及管理、创业投资及股权投资基金信托管理。
设立合伙企业可以满足集团对城镇化生态圈产业链中早期及中期企业的投资需求，符合集团战略定位。此外，合伙企业的主要出资方为政府引导基金和地方产业母基金，集团相信可实现高效利用社会资本、放大投资杠杆目的。亦可为公司贡献稳定的管理费收益，并扩大收入来源。
