中國建築國際(03311.HK)就長沙項目與中建五局成立合營企業
格隆匯1月7日丨中國建築國際(03311.HK)發佈公告，2020年1月7日，中建國際投資(公司全資附屬公司)、中建國際工程(公司全資附屬公司)及中建五局訂立合作協議，據此，各訂約方同意(a)與長沙西城及長沙望城組成長沙合營企業，以投資於長沙項目；及(b)制定各自於長沙合營企業的權利及義務。
中建國際投資、中建國際工程及中建五局組成投標聯合體，並共同就長沙項目投標。該投標聯合體中標長沙項目。根據投標文件，中建國際投資、中建國際工程、中建五局、長沙西城與長沙望城將按股權比例分別為32%、1%、18%、39%及10%成立長沙合營企業，以投資於長沙項目。長沙合營企業的項目資本(不包括長沙合營企業的註冊資本)為人民幣9.8541億元，將由長沙合營企業的股權持有人按彼等各自於長沙合營企業的股權比例出資。
根據披露，長沙項目為有關建設、管理及營運中國湖南長沙高鐵西站產業新城一期工程的政府和社會資本合作(PPP)項目。長沙項目涉及的土地約4.65平方公里。長沙項目涉及道路、綠地、社區中心、停車場、高鐵基礎設施建設及地面平整。根據合作協議，長沙項目的建設期及營運期將於長沙合營企業就長沙項目與相關地方當局及政府訂立的PPP項目協議項下訂明，據此，長沙合營企業將獲授權建設、管理及營運長沙項目。營運期結束後，長沙項目將移交予有關政府機關。
公告表示，中建五局在建築市場具備豐富經驗。交易為公司提供以中建五局為合營企業夥伴參與中國建設項目的機會，併為訂約方之間帶來協同效應。董事相信，有關安排將使集團憑藉中建五局的豐富經驗而獲益。
