北控水務集團(00371.HK)旗下青島陽安獲農銀金融注資4億元
格隆匯12月31日丨北控水務集團(00371.HK)宣佈，於2019年12月31日，公司旗下青島陽安擬獲農銀金融以現金出資方式注資人民幣4億元，出資額將用作增加其註冊資本。增資完成後青島陽安將仍為集團的附屬公司。
同時，在青島陽安增資完成後，北控水務(中國)投資根據青島陽安投資合作協議的條款及條件規限下獲授予若干權利向農銀金融收購青島陽安41.86%的股本權益。
青島陽安於2019年12月30日收購北控陽安98%的股本權益。於收購前，北控陽安由北控水務(中國)投資直接持有。北控陽安其主要在中國經營水污染治理；天然水收集與分配；污水處理及其再生利用；其他水的處理利用與分配；防洪除澇設施管理；水資源管理；市政基礎設施開發、建設和市政基礎設施運營維護管理。
集團將使用青島陽安增資所得款項償還債務。集團的槓桿比率將有效降低，同時其財務費用和融資成本有效降低，此有利於提升集團的競爭力及可持續健康發展。青島陽安增資將為集團帶來更多資本，提供更佳的資產負債結構，增加日後新項目的融資能力，並隨即降低本集團的財務風險。
緊隨青島陽安增資完成後，青島陽安將繼續為集團的附屬公司，而集團將維持對青島陽安未來發展的管控。青島陽安投資合作協議項下的退出安排提供北控水務(中國)投資(當發生若干特殊情況時)向農銀金融收購該股本權益選擇權，而此最終為集團的利益而設。倘收購該股本權益選擇權獲行使，集團將有更大的靈活性再次保持對青島陽安的更大控制權，併為集團提供進一步開拓業務發展的機會，而毋須與其他實體分享潛在的經濟回報。
