綠城中國(03900.HK)收購藍城文化旅遊及藍城海藍若干股權及債權 促進風荷九里及春風如意項目發展

格隆匯12月30日丨綠城中國(03900.HK)公告,於本公告日期,公司的全資附屬綠城小鎮與藍城嘉藍、梅山嘉藍及藍城文化旅遊訂立藍城文化旅遊協議,據此:(i)綠城小鎮同意購買及藍城嘉藍同意出售藍城文化旅遊目標權益(藍城文化旅遊的20%股權及藍城嘉藍(作為債權人)應收藍城文化旅遊(作為債務人)的人民幣6282.5萬元債權);及(ii)藍城文化旅遊股東同意於藍城文化旅遊協議載列彼等與藍城文化旅遊有關的關係。

綠城小鎮就收購藍城文化旅遊目標權益應向藍城嘉藍支付的代價包括:(a)藍城文化旅遊目標股權對價1330.96萬元;及(b)藍城文化旅遊目標債權對價人民幣6282.5萬元。

於本公告日期,綠城小鎮亦與藍城嘉仁、梅山嘉藍、富逸睿匙、嘉興福達、藍城海藍及藍城文化康養訂立藍城海藍協議,據此:(i)綠城小鎮同意購買及藍城嘉仁同意出售藍城海藍目標權益(藍城海藍的20%股權及藍城嘉仁應收藍城海藍的約人民幣7886.49萬元債權);及(ii)藍城海藍股東同意於藍城海藍協議載列彼等與藍城海藍及藍城文化康養有關的關係。

綠城小鎮就收購藍城海藍目標權益應向藍城嘉仁支付的代價包括:(a)藍城海藍目標股權對價為零;及(b)藍城海藍目標債權對價為人民幣7886.49萬元。

截至本公告日期,風荷九里項目已獲得土地面積為101,476平方米的住宅及商業用地,而春風如意項目已獲得土地面積為69,993平方米作住宅用地及102,387平方米作住宅及商業用地。該等協議的訂約方表示收購藍城文化旅遊目標權益或藍城海藍目標權益(視情況而定)將分別有助於該等項目公司進一步發展該等項目。

因此,董事會相信,藍城文化旅遊協議及藍城海藍協議各訂約方間的合作將可通過訂約方發揮各自優勢及協同效益為該等項目帶來裨益,並將拓寬本公司的資產及盈利基礎,進一步鞏固本公司作為中國頂尖物業開發商的地位。雖然根據該等協議,未來出資需求未必會由藍城文化旅遊及藍城海藍的全體股東按股權比例提供,因該等項目的管理層持股平台梅山嘉藍對該等項目經營發展的重大作用,而並無進一步出資責任(其應付的藍城文化旅遊及藍城海藍現有未償付註冊資本除外),惟董事會認為,於該等項目需要額外出資時,進一步出資及╱或財務資助將為該等項目提供日常營運及管理所需的資金,因此將符合本集團作為該等項目股東的整體利益。
