安徽皖通高速公路(00995.HK)擬參與成立合營公司
格隆匯12月23日丨安徽皖通高速公路(00995.HK)、四川成渝高速公路(00107.HK)及江蘇寧滬高速公路(00177.HK)聯合公佈，2019年12月23日，聯合體成員(即招商公路、CMU、浙江滬杭甬、江蘇寧滬、四川成渝及安徽皖通)就共同出資成立合營公司以收購標的公司51%的股權及相應比例的股東借款訂立合作協議。
同日，由於合營公司、聯合體愛爾蘭SPV及聯合體馬耳他SPV尚未註冊成立，聯合體成員代表聯合體愛爾蘭SPV及聯合體馬耳他SPV與賣方簽署股份購買協議，據此，賣方將出售而聯合體愛爾蘭SPV及聯合體馬耳他SPV將收購標的公司51%的股權及相應比例的股東借款。在股份購買協議交割前，聯合體愛爾蘭SPV及聯合體馬耳他SPV將被成立以持有標的公司51%的股權及相應比例的股東借款。
根據合作協議，聯合體成員將向合營公司注入的資本總額為6.885億美元(相當於約53.691億港元)。透過其各自於香港註冊成立的全資附屬公司，聯合體成員將分別向合營公司注資約2.134億美元，1.377億美元，1.205億美元，1.205億美元，4820萬美元及4820萬美元，分別持有合營公司31%，20%，17.5%，17.5%，7%及7%的股權。
公告表示，江蘇寧滬、四川成渝及安徽皖通的董事會視該交易為其各自集團的重大商業機會。參與該交易將推動聯合體成員優化資源配置，完善戰略佈局。該交易提供了聯合體成員強強聯合的契機，並將受益於賣方在土耳其運營、管理及開發高速公路方面的深厚專業知識和該交易所產生的規模經濟效益。
