融創中國(01918.HK)擬152.69億元收購成都及武漢等地產項目
格隆匯11月27日丨融創中國(01918.HK)公佈，於2019年11月27日，融創西南集團（公司的間接全資附屬公司）收到雲南產權交易所發來的交易結果通知書，確認融創西南集團為環球世紀及時代環球各51%股權的受讓方，據此，融創西南集團將收購雲南城投集團持有的目標公司（環球世紀和時代環球）51%股權，代價約為人民幣152.69億元。
目標公司及其附屬公司主要從事地產項目的開發運營，在成都、武漢、長沙、昆明等城市共開發18個目標項目，總建築面積約為3,071.6萬平方米，可售建築面積約為2,771.6萬平方米，約佔總建築面積的90%，截至本公告日期，未售建築面積約為2,390.1萬平方米。
股權交易完成後，融創西南集團將持有目標公司51%的股權，六名自然人股東仍將合計持有目標公司49%的股權。目標公司將成為公司的間接附屬公司。
此外，融創西南集團已與六名自然人股東訂立相關協議，據此，自然人股東同意：於目標股權完成交割後，該集團將全面負責目標公司及目標項目的運營管理；於目標股權完成交割後30日內，目標公司向融創西南集團宣佈分配利潤約人民幣71.43億元（其中融創西南集團按股權比例應分約人民幣36.43億元，超額分得利潤約人民幣35億元）。
據悉，環球世紀為一家在中國成立的有限責任公司，主要從事位於中國的房地產開發、企業管理諮詢、會議及展覽展示服務等業務。雲南城投集團持有環球世紀51%的股權，自然人股東合計持有49%的股權。環球世紀於2017年度及2018年度分別盈利5.92億元及6.27億元。
時代環球為一家在中國成立的有限責任公司，主要從事位於中國的房地產開發、企業管理諮詢、會議及展覽展示服務等業務。雲南城投集團持有時代環球51%的股權，自然人股東合計持有49%的股權。
公司稱，通過此次交易，該集團以合理的土地價格獲得了大量優質的土地儲備，將有力支持該集團未來的穩健發展。此外，目標公司在會議中心、展覽中心及文旅方面有多年的積累，並形成了良好的口碑和品牌，通過此次交易，將進一步提升該集團多種物業業態的運營管理能力。
