太陽城集團(01383.HK)擬1.66億港元收購Sun Trust 51%權益 進軍菲律賓娛樂場及娛樂事業
格隆匯10月29日丨太陽城集團(01383.HK)公佈，於2019年10月28日，公司全資附屬彩御斥11.01披索，摺合1.66億港元，收購合共11.48億股Sun Trust股份，相當於Sun Trust 51%權益。同日，Westside與Sun Trust訂立共同開發協議，據此，Westside及Travellers旨在將項目地盤出租予Sun Trust以開發主酒店娛樂場，而Westside旨在委任SunTrust為主酒店娛樂場的唯一及獨家經營商及管理人。
Sun Trust主要從事租賃業務及投資控股(作為Sun Trust集團於菲律賓證券交易所的上市工具)。Sun Trust集團(透過其附屬公司)的主要業務為管理房地產物業及交通運輸服務，包括以旅遊巴、巴士、中型巴士、吉普車、汽車及其他類似交通工具為乘客、出租車乘客、客户及上下班人士以及貨物、貨品、物件、物品、包裹、商品、產品或銷售品提供陸上交通、乘載、運輸或貨運。
根據共同開發協議擬進行的營運及管理協議，Sun Trust將為主酒店娛樂場的唯一及獨家經營商，主酒店娛樂場將為菲律賓馬尼拉娛樂城一座五星級酒店及娛樂場綜合大樓，預計於2023年前投入營運。娛樂城是馬尼拉的娛樂場樞紐。透過收購事項及股份認購事項投資Sun Trust標誌着集團進軍菲律賓娛樂場及娛樂事業的第一步，使集團能夠從此不斷增長的市場中分一杯羹，並與集團在東南亞地區的整體旅遊相關業務發揮協同效益。
此外，彩御擬認購25.50億股新Sun Trust股份，另外兩名投資者Megaworld及Aurora分別認購21.77億股及2.73億股新SunTrust股份，每股認購價均為1.0披索。
