奧瑪仕國際(00959.HK)擬1.2億港元受讓柬埔寨賭枱業務權利
格隆匯10月28日丨奧瑪仕國際(00959.HK)公佈，於2019年10月28日，公司全資附屬思勝與Lion King訂立租賃協議，Lion King有條件同意租賃及思勝有條件同意租用賭枱，租期自租賃開始日期起至2020年9月30日止，月租金為120萬港元。
同日，思勝與Lion King訂立轉讓協議，據此，Lion King有條件同意向思勝轉讓賭枱業務權利，自轉讓開始日期起計，為期5年，代價為1.2億港元。代價將由思勝透過出售銷售股份並促使公司發行承兑票據予Lion King的方式支付。
根據轉讓協議，Lion King及擔保人無條件及不可撤銷地向思勝擔保，賭枱業務於轉讓開始後12個月期間及緊隨首個12個月期間屆滿後的12個月期間的經審核除税後溢利淨額分別不得少於2800萬港元及3200萬港元。
據悉，該賭場位於Village 1, Commune No. 3, Mittaphea Town, Shihanoukville Municipal,Cambodia的海納天酒店一樓及二樓，總建築面積為8,100平方米。於本公告日期，賭場已獲柬埔寨經濟和財政部出具有效的賭場牌照，並於2019年10月9日開始營運。
公司稱，鑑於在投資環境及地理位置方面更具優勢的東盟國家開始重視及加快旅遊業及博彩產業的發展，因此該公司預計，瓦努阿圖博彩產業的市場狀況將長期呈現波動趨勢。出售事項為該公司提供機會，使得該公司能夠撤出其於瓦努阿圖博彩業務的投資，並將其業務中心置於柬埔寨。該公司看到Shihanoukville Municipal博彩市場的吸引力及潛力，並願意於可行情況下儘快開展其賭場業務營運。鑑於達成轉讓協議的所有先決條件及開始轉讓須耗時多月，因此租賃協議的簽訂乃該集團與LionKing進行商業磋商後的結果，這使得該集團能夠於賭場盛大開業後即時開展其博彩業務營運，以便該集團儘快熟悉Shihanoukville Municipal博彩市場及賭場的業務環境，儘早享有賭枱業務帶來的任何貢獻。
