越秀地产(00123.HK)拟89.11亿元收购两个新地铁房地产项目51%权益
格隆汇9月10日丨越秀地产(00123.HK)公布,凭藉与广州地铁的战略关系的利益,公司透过与广州越秀订立两份越秀地产期权契约,于2019年5月28日已落实取得各项新地铁房地产项目51%权益的权利。
萝岗项目地理位置优越,毗邻地铁6号线香雪站。此为广州黄浦区核心地区仅有的大面积地块,可发展由住宅楼宇及教育设施组成的多用途综合体。陈头岗项目位于地铁22号线陈头岗站东面。此为广州番禺区罕有大面积纯住宅房地产开发项目。预计陈头岗项目的价值将随着地铁22号线于2020年启用而提升。
其已根据越秀地产期权契约的条款行使两份越秀地产期权,并已提名买方(公司附属公司)收购51%股权及贷款权益。有关行使完成收购事项须待(其中包括)取得公司独立股东批准后方可作实。
为实现51%股权及贷款权益的转让,买方已于2019年9月10日订立交易文件。根据交易文件,买方有条件同意以总代价人民币1.28亿元收购各目标控股公司(持有目标公司各自的51%股权)的全部股权,连同本金总额为人民币85.30亿元的相关贷款的利息(包括(如适用)自广州越秀作出有关贷款的各日期起直至收购事项完成前按6.5%年利率应计的利息),方式为转让贷款(将予再融资的小部分贷款除外)权益及再融资极小部分贷款,在各情况下以等额基准作出。
假设收购事项于2019年11月15日(即公司旨在完成收购事项的日期)完成,则买方就两项收购事项应付的总收购金额总计将约为人民币89.11亿元。
董事会认为,收购两个新地铁房地产项目的51%权益为公司与广州地铁建立战略合作关系及实现"轨交+房地产"业务战略的重要一环。收购事项完成后,集团地铁相关项目的建筑面积将增至约320万平方米,于公告日期占本集团现有土地储备总量约14.9%及一线城市土地储备约36.3%。
此外,公司已成立由全体独立非执行董事组成的独立董事委员会,以就收购事项向独立股东提供意见。禹铭投资管理有限公司已获委任为独立财务顾问,以就收购事项向独立董事委员会及独立股东提供意见。
