新意网集团(01686.HK)拟22.15亿港元收购香港物业及18亿港元出售香港两份物业

格隆汇9月9日丨新意网集团(01686.HK)公布,于2019年9月9日:(i)BI收购买方(本公司间接全资附属公司)与BI收购卖方Camembert Investments Limited(由新鸿基地产(00016.HK)全资拥有)订立BI收购协议,BI收购买方拟收购BI收購公司Branhall Investments Limited全部股份及BI销售贷款,BI代价约为22.15亿港元;

此外,(ii)RD出售卖方(本公司间接全资附属公司,作为卖方)与RD出售买方订立RD出售协议,据此RD出售卖方拟出售RD出售公司Riderstrack Development Limited全部股份及RD销售贷款,RD代价约为10.52亿港元;及(iii)MI出售卖方(本公司直接全资附属公司)与MI出售买方订立MI出售协议,MI出售卖方拟出售MI出售公司Multi-well Investments Limited全部股份及MI销售贷款,MI代价约为7.55亿港元。

上述该等交易包括(i)本集团向新鸿基地产集团收购位于香港新界沙田火炭的整幢工业大厦,其大部分现时由本集团租赁及营运数据中心MEGATwo之用;及(ii)本集团向新鸿基地产集团出售分别位于香港九龙观塘创纪的城1期渣打中心及香港北角柯达大厦第二期的若干单位。

据悉,BI收购公司为根据英属维尔京群岛法例注册成立的公司。其为新鸿基地产的间接全资附属公司,主要从事物业投资。BI物业为位于香港新界沙田火炭黄竹洋街8-12号的整幢工业大厦,由BI收购公司持有。于本公布日期,BI物业受多份租约所约束,最迟于2022年6月届满,月租合共约为810.0万港元。BI收购公司分别截至2018年6月30日及2019年6月30日止两个财政年度取得纯利1.4亿港元及1.69亿港元。

RD出售公司为根据英属维尔京群岛法例注册成立的公司。其为本公司的间接全资附属公司,主要从事物业控股。RD物业为位于香港九龙观塘创纪的城1期渣打中心的若干办公室单位,由RD出售公司持有。于本公布日期,RD物业受多份租约所约束,最迟于2023年12月届满,月租合共约为270.0万港元。

此外,MI出售公司为根据英属维尔京群岛法例注册成立的公司。其为本公司的间接全资附属公司,主要从事投资控股。Splendid Sharp为一间于香港注册成立的公司。其为MI出售公司的直接附属公司,主要从事物业控股。MI物业为位于香港北角柯达大厦第二期的多个工作室及储物室,由MI出售公司透过Splendid Sharp持有。于本公布日期,MI物业受多份租约所约束,最迟于2021年9月届满,月租合共约为180.0万港元。

公司称,该等交易涉及本集团就数据中心收购物业及出售商用物业。本集团于香港数据中心市场累积多年经验并拥有竞争优势。董事会确信,该等交易有助本集团进一步明确界定其业务定位。为促进本集团日后的策略性发展,按照该等出售事项出售本集团的投资物业将有助本集团调整其业务组合,更明确界定其业务定位,并能专注于其专门发展。
