中科生物(01237.HK)拟“5合1”并股
格隆汇9月2日丨中科生物(01237.HK)公布,董事会拟向股东提呈股份合并的建议,拟“5合1”合并股份。股份合并须待股东于股东特别大会批准后方可作实。
根据上市规则第13.64条,如发行人的证券市价接近0.01港元或9,995.00港元的极端水平,联交所保留要求发行人更改交易方法或进行证券合并或分拆的权利。监于股份最近成交价,董事会主动建议进行股份合并,以遵守上市规则的交易规定。因此,董事会认为,股份合并符合公司及股东整体利益。
