南方航空(600029.SH)首次向中国商飞购买飞机 一次下单35架ARJ21-700飞机
格隆汇8月30日丨南方航空(600029.SH)公布，公司于2019年8月30日与中国商用飞机有限责任公司(“中国商飞”)签订《ARJ21-700飞机买卖协议》，向中国商飞购买35架ARJ21-700飞机，该机型为设计航程3200公里以内的单通道支线飞机。
ARJ21-700飞机的公开市场报价为每架约3800万美元。此次交易的35架ARJ21-700飞机的基本价格合计为13.3亿美元(按1美元兑7.09元人民币折算，约为人民币94.3亿元)。上述基本价格包括机身和发动机。
此次次交易金额是经合同签订双方根据一般商业及行业惯例以公平磋商厘定。实际交易中中国商飞给予公司较大幅度优惠，此次购买飞机的实际价格将低于上述基本价格。
虽然此次购买ARJ21-700飞机为全新机型且为公司首次向中国商飞购买飞机，但就ARJ21-700飞机本身的性能参数而言，中国商飞给予公司价格优惠后的实际成交价格与公司过往从其他飞机制造商获得的优惠价格相近。公司相信购买所获价格优惠对公司整体营运成本的影响，跟先前从其他飞机制造商所获价格优惠的影响并无重大差异。
上述35架ARJ21-700飞机计划于2020年至2024年由中国商飞分批交付给公司，其中2020年、2021年、2022年、2023年、2024年分别交付ARJ21-700飞机3架、6架、8架、9架、9架。
公司拟通过业务营运、商业银行贷款或其他融资方式为此次购买的35架ARJ21-700飞机提供资金。此次交易代价属于分期支付，预计不会对公司的现金流状况和业务运营产生重大影响。
公司董事会认为，此次飞机交易有助于满足公司的市场需求，有利于公司补充支线飞机运力，促进公司干线、支线有效衔接，从而深化推进公司枢纽战略，有助于增强公司市场竞争力；此次飞机交易的条款是公平合理的，符合公司和全体股东的整体利益。
不考虑可能基于市场环境和机龄而对机队作出的调整，以集团截至2018年12月31日的可用吨公里(ATK)计算，此次购买35架ARJ21-700飞机将使集团运力增长约1.1%。
