爱尔眼科(300015.SZ)：控股股东及实控人转2%股权 高瓴继续加码淡马锡入局
格隆汇8月30日丨爱尔眼科(300015.SZ)宣布，2019年8月30日，公司收到控股股东爱尔投资及实际控制人陈邦的告知函。爱尔投资及实际控制人陈邦于2019年8月30日通过深交所大宗交易系统共计转让公司的无限售条件股份6194万股，共占公司总股本的2%，其中爱尔投资转让4040万股，占公司总股本的1.3%；实际控制人陈邦转让2154万股，占公司总股本的0.7%。此次股份受让方为高瓴资本(HillHouse)及Temasek Fullerton Alpha Pte. Ltd，其中，高瓴资本受让1%股权，Temasek Fullerton Alpha Pte. Ltd受让1%股权。
高瓴资本系亚洲地区资产管理规模最大的投资基金之一，代表性的投资案例包括：腾讯、京东、美团点评、爱奇艺、携程、去哪儿、百丽国际、普洛斯(GLP)、美的、格力、公牛电器、百济神州、翰森制药、药明康德、信达生物、君实生物、Zoom、Peets Coffee等。
Temasek Fullerton Alpha Pte. Ltd. 为Temasek Holdings PrivateLimited (淡马锡控股(私人)有限公司(“淡马锡”))的全资子公司。淡马锡是一家投资公司，截至2019年3月31日的投资组合净值为3130亿新元。总部设在新加坡的淡马锡在全球拥有 11 个办事处。淡马锡所投资的企业包括中国建设银行、中国工商银行、中国平安、阿里巴巴、腾讯、药明康德、泰格医药、百济神州、信达生物等。
通过此次转让引入两家世界级战略投资人，是爱尔眼科步入“二次创业”新发展阶段的战略性举措，有利于公司学习借鉴全球化战略布局的成功经验，带来更加开放务实的全球化思维，为公司的国际化发展加油助力。
爱尔投资此次转让所获收益主要用于购置核心城市物业，以公允价格租赁给爱尔眼科的旗舰医院，为其提供永久性的医疗用房，助力其实现长期稳定发展，逐步打造成为国际领先、国内一流的眼科机构；同时，转让所得资金将进一步增强爱尔投资的资本实力，加快筹建专业的眼健康保险公司，推动爱尔眼科建设眼健康生态圈。实际控制人陈邦此次转让获得的收益主要为合伙人出资提供借款，更好地实施合伙人计划。
