富春环保(002479.SZ)拟与光大环保共设项目公司
格隆汇8月28日丨富春环保(002479.SZ)公布，近日，公司与中国光大国际有限公司的孙公司光大环保能源(杭州)控股有限公司(“光大环保”)共同签订了《富阳区循环经济产业园生活垃圾焚烧处置PPP项目股东合资协议》(“合资协议”)，双方决定共同出资设立项目公司杭州富阳渌渚环境能源有限公司(“项目公司”)，项目公司注册资本为4.587亿元人民币。其中，公司出资人民币约2.34亿元，占项目公司注册资本的51%；光大环保出资约2.25亿元，占项目公司注册资本的49%。
杭州富阳渌渚环境能源有限公司经营范围：垃圾焚烧发电厂建设、经营，销售所产生的电力、灰渣及附属产品；研究开发垃圾焚烧发电新技术，提供相关技术咨询、技术服务；蒸汽热供应。(涉及国家规定实施准入特办管理措施的除外)(以公司登记机关核定的经营范围为准)(依法须经批准的项目，经相关部门批准后方可开展经营活动)
此次投资建设内容包括在杭州市富阳区渌诸镇阆坞村、政府规划的富阳循环经济产业园内建设一座日处理城市生活垃圾1500吨的生活垃圾焚烧发电厂，配置2台处理量为750吨/日的机械炉排焚烧炉+1台40MW凝汽式汽轮发电机组(不含场地土方处理、进场道路、电力接入系统、飞灰处理、垃圾收运系统)。项目合作期30年，其中建设期2年(PPP项目合同生效日起至预定项目建成日止不超过18个月，试运营6个月)，运营期28年。
项目公司的宗旨是：与富阳区政府或授权代表签署PPP项目合同以及生活垃圾处理协议，取得投资、融资、设计和建设及运营、管理和维护项目的经营权，并通过两方合作，提高管理水平，为大众提供优质的服务，同时收取垃圾处理服务费、发电上网收入及售热收入(若有)以回收投资及取得合理回报，使两方获得的经济利益最大化。
项目公司的投资总额为人民币约13.76亿元。项目公司的注册资本不低于总投资的三分之一，约为人民币4.59亿。
公司与光大环保合作成立项目公司，参与富阳区循环经济产业园生活垃圾焚烧处置PPP项目建设，符合公司“拓展循环经济，实现持续发展”和推广复制“固废处置+节能环保”循环经济模式的战略，符合公司主营业务发展方向。该项目建成运营后，公司将做大垃圾处理及分类细分领域，固废处置规模和环保主业比重进一步提升，有利于提高公司综合竞争力和行业影响力。此次投资对公司当期财务状况和经营成果不会构成重大影响。
