青岛港(06198.HK)控股股东股权无偿划转山东省国资委将成为最终控制人
格隆汇8月22日丨青岛港(06198.HK)发布公告，有关威海市国资委同意将其持有的威海港集团100%股权(不含非经营性资产及对应负债)无偿转让给青岛港集团，及山东省港口整合。2019年8月22日，公司收到控股股东青岛港集团通知，主要内容如下：山东省港口集团、青岛市国资委、威海市国资委及青岛港集团于2019年8月22日签署了《无偿划转协议》，据此，(i)青岛市国资委将青岛港集团100%股权(包括青岛港集团拟持有的威海港集团100%股权)无偿划转至山东省港口集团，(ii)青岛港集团将变更为山东省港口集团的全资子公司，及(iii)威海港集团作为青岛港集团全资子公司的股权关系不变。
本次无偿划转前及截至本公告日期，青岛市国资委合计间接持有公司3,583,918,000股股份，占公司总股本的55.21%。本次无偿划转实施完成后，公司的控股股东仍为青岛港集团，公司的实际控制人将由青岛市国资委变更为其上级机关山东省国资委。
本次无偿划转前及截至公告日期，青岛市国资委(i)直接持有青岛港集团100%股权，通过青岛港集团间接持有公司3,522,179,000股A股股份；(ii)直接持有青岛国际投资有限公司100%股权，通过青岛国投间接持有公司48,000,000股A股股份；及(iii)间接持有青岛港金融控股有限公司100%股权，通过青港金控间接持有公司13,739,000股H股股份，合计持有公司3,583,918,000股股份，占公司总股本的55.21%。
本次无偿划转完成后，山东省港口集团(i)将直接持有青岛港集团100%股权，将通过青岛港集团间接持有公司3,522,179,000股A股股份；(ii)将间接持有青港金控100%股权，通过青港金控间接持有公司13,739,000股H股股份，合计持有公司3,535,918,000股股份，占公司总股本的54.47%，山东省国资委将成为公司最终控制人。
