中国山东高速金融(00412.HK)中新金财务及借款人订立和解协议
格隆汇8月19日丨中国山东高速金融(00412.HK)公布，有关提供本金额为2亿港元的财务资助。于2019年8月19日，中新金财务及借款人就中新金财务于诉讼中对借款人提起的索偿订立和解协议。
根据借款人和解协议，借款人已同意(其中包括)：
(a)向中新金财务支付以下款项以结算未偿还贷款：(i)于2019年8月19日，向中新金财务支付3000万港元以结算部分借款人于贷款协议项下结欠中新金财务的尚未偿还本金额1.84亿港元；(ii)于2019年12月19日或之前向中新金财务支付1.66亿港元连同未偿还本金结余(即1.54亿港元)于2019年3月25日至实际全额还款日期期间按年利率12%计算的应计利息；
(b)促使彼之妻子就一间于英属维尔京群岛注册成立企业的已发行股份之49%以中新金财务为受益人签立股份质押，作为借款人於借款人和解协议项下责任的担保；及
(c)促使担保人以中新金财务为受益人签立担保，以担保借款人于借款人和解协议项下的责任。
于公告日期，已向中新金财务支付第一笔款项并已签立额外股份押记及额外担保。于签立额外股份押记后，借款人及彼之妻子已以中新金财务为受益人质押押记实体之全部已发行股本，其中借款人已根据贷款协议质押押记实体已发行股本的51%。
2019年8月19日，中新金财务已就其于诉讼中向借款人提出的索偿向香港高等法院提交终止通知书，且并无判令有关诉讼费。根据借款人和解协议，中新金财务已同意於收到第一笔款项、额外股份押记及额外担保后14日内，就于2018年4月3日所订立贷款协议及补充协议项下以中新金财务为受益人而签立的5份现有股份押记，签立解除契据，惟借款人就押记实体已发行股本的51%签立之股份押记除外。
