彩生活(01778.HK)拟向三六零及JD.com折让4.22%增发9410万股以扩大双方合作
格隆汇7月19日丨彩生活(01778.HK)公布，于2019年7月19日，公司与第一认购人VolgaInnovationLimited订立第一认购协议，据此第一认购人同意按认购价每股5.22港元认购7115万股新股份。第一认购股份占公司现有已发行股本约5.36%及扩大后已发行股本约5.08%。
同日，公司与第二认购人奇飞国际发展有限公司订立第二认购协议，据此第二认购人同意按认购价每股5.22港元认购2295.6万股新股份。第二认购股份占公司现有已发行股本约1.73%及扩大后的已发行股本约1.70%或公司经发行第一认购股份及第二认购股份扩大后的已发行股本约1.61%。认购价每股5.22港元较7月19日收市价每股5.45港元折让约4.22%。
据悉，第一认购人为JD.com的间接全资附属公司，而JD.com为中国领先的技术驱动型电子商务公司和零售基础设施服务商。第一认购人主要从事投资控股业务。
第二认购人主要从事投资管理业务。第二认购人为三六零安全科技股份有限公司的间接全资附属公司。360.com则由非执行董事周鸿禕先生控制约63.7%股权。
公司称，该公司将透过第一认购事项筹集资金及扩大其资本基础，并在该公司的商业、物流、融资及科技业务方面加强与第一认购人的合作。该公司将透过第二认购事项筹集资金及加强与360.com的合作，将长期积累的核心安全能力、大数据、IoT、人工智能等技术广泛应用于社区安全领域，有效提升第二认购人在守护城市、社区安全方面的知名度及影响力，为构建城市安全大脑、打造大安全产业生态奠定良好基础。
