映客(03700.HK)合计收购开曼公司100%股权
格隆汇7月15日丨映客(03700.HK)公布，于2019年7月14日，买方(公司)、开曼公司Social Network Technology Co., Ltd、香港公司Socialmaker Technology Limited、外商独资企业蓝莓时节文化(北京)有限公司、境内公司北京蓝莓时节科技有限公司、成都附属公司成都蓝莓时节科技有限公司、创办人蔡狄、创办人控股公司Leoyoung Technology Co., Ltd及投资者股东订立购股协议。受限于购股协议的条款及条件，其中包括：
(i) 投资者股东向买方(个别但非共同)转让而买方向投资者股东购买开曼公司的合共63.17%股权，价格为相关境外购买价4758.52万美元；
(ii) 创办人控股公司向买方转让而买方向创办人控股公司购买开曼公司的36.83%股权，价格为相关境外购买价2779.45万美元；
(iii) 除投资者股东A及投资者股东F外，其他售股股东促使彼等各自的境内联属人士(即创办人、中国联属人士A、中国联属人士B、中国联属人士C及中国联属人士D)向买方联属公司(个别但非共同)转让境内公司的合共84.33%股权，价格为境内购买价人民币6606.93万元。
公告显示，境内公司为目标集团，即开曼公司、香港公司及中国公司以及开曼公司的任何其他直接或间接附属公司的唯一经营公司。成都附属公司并无实际经营，目标集团的其他公司均从事投资控股或并无实际经营。
境内公司截至2018年12月31日止年度的经审核财务报表，境内公司于2018年12月31日的经审核资产净值为人民币596万元。
