中兴通讯(00763.HK)与万科订立南山物业项目补充协议协议总对价72.65亿元
格隆汇7月11日丨中兴通讯(00763.HK)公布,于2018年2月9日,公司与万科房地产订立框架协议,万科房地产同意提供以下服务:(i)开发建设南山土地的物业;(ii)销售可售物业;及(iii)运营委托运营物业。
2019年7月11日,公司与万科房地产订立补充协议,据此双方同意,修订框架协议若干条款,以加快推进本项目,进一步明确双方权利义务,给予万科更多的主导权。
框架协议总对价为人民币72.65亿元,根据框架协议应付实际现金对价为人民币53.66亿元,万科房地产已承诺支付。根据补充协议,万科房地产应向公司支付人民币7264万元作为增加的委托运营物业运营权对价。截至本公告日,万科房地产已向公司支付人民币35.42亿元。
公司称,该集团不具备开发建设、销售、运营的完整经验和专业团队,为了加快推进本项目、进一步明确双方权利义务、给予万科房地产更多的主导权,根据本项目的具体推进情况以及双方的友好协商订立补充协议。补充协议生效后,预计本项目全周期本集团确认税前利润合计约为人民币30亿元至人民币33亿元(而非如原框架协议所拟定,于完成后确认税前利润人民币27.2亿元),其中2019年确认税前利润约为人民币26亿元至人民币29亿元,其余分布在2020年至2022年实现,前述税前利润以经审计的该集团财务报告数据为准。
根据框架协议及补充协议销售可售物业及委托运营物业运营权的所得款项净额,计划由该公司用作其一般营运资金。
