高银金融(00530.HK)启德地弃标石礼谦等董事社会矛盾和经济不稳将有负面影响
高银金融(00530.HK)公布，早前以111亿元投得启德4C区酒店用地，惟於6月10日公司应非执行董事石礼谦要求召开紧急董事会，以讨论该地块事宜，在公司全体董事、律师及独立核数师列席该会议，在独立核数师在场的情况下，管理层向董事会证明充足和可动用资金到位证明，作为投标人的全资附属可予支付该地块之不低於111亿元的地价余额。而董事会就审议暂停向投标人提供财务资助以清付该地价的决议案进行讨论及考虑。
在会议上，公司律师已根据该地块之出售条件而就未有履行支付该地价而阐述对公司有可能产生的法律影响。每名董事会成员概对该事项表达各自意见，3名执董(周晓军、黄睿及许惠敏)以及3名独立非执董(石礼谦、邓耀荣及黄伟梁)认为近期发生的社会矛盾和经济不稳定将可对香港商业地产市场的增长产生负面影响，故投票赞成该事项的决议案。
然而，董事会主席潘苏通强烈表示，他认为近期发生的社会矛盾和经济不稳定不会对香港商业地产市场的长期发展有所影响，他有信心收购该地块会对集团现有位於启德的住宅用地发展将会带来重大协同效益，并投票反对该事项的决议案。独立非执行董事高敏亦对该事项的决议案投反对票。
由於董事会中的大多数投票赞成该事项的决议案，因此暂停向投标人提供支付该地价的财务资助。公司根据律师发出之法律意见，香港政府有权实行或取消出售该地块。倘被取消後，投标人已支付不可退还之按金2,500万元将会被香港政府没收，而香港政府将可酌情在适当时间、地点和方式下转售该地块，所有转售或转售的损失和费用应由投标人支付，并由香港政府作为违约赔偿金予以处理。(el/a) ~
