诺德股份(600110.SH)拟8亿元债权对青海电子进行增资扩股

格隆汇1月23日丨诺德股份(600110.SH)公布,鉴于公司享有全资子公司青海电子债权,为了充实青海电子运营资金,改善其资产负债结构,2020年1月22日公司召开第九届董事会第二十一次会议,审议通过了《关于公司全资子公司青海电子材料产业发展有限公司增资扩股(债转股)的议案》,董事会同意公司拟以人民币8亿元债权对全资子公司青海电子进行增资扩股(债转股)。

此次债转股后,公司不再享有青海电子8亿元债权所对应的债权人权益,转而享有股东权益。增资前青海电子注册资本为人民币9亿元,经公司债转股增资8亿元后,青海电子注册资本将增至17亿元。

通过此次增资,缓解了资金压力,充实青海电子运营资金,改善其资产负债结构,满足其后续资金需要及引进战略投资者需要,有利于青海电子良性发展,从而进一步提升公司整体的收益水平。
