*ST中孚(600595.SH):银湖铝业土地收储事项 预计增加公司2019年度归母净利润2.5亿元
格隆汇12月16日丨*ST中孚(600595.SH)公布,2019年12月4日,经公司第九届董事会第十一次会议审议通过,公司董事会同意公司全资子公司银湖铝业位于郑州市药厂街南、腊梅路西的一宗土地由郑州高新技术产业开发区土地储备中心实施收储。该事项尚须提交公司2019年12月23日召开的2019年第六次临时股东大会审议。
2019年12月16日,银湖铝业与郑州高新技术产业开发区土地储备中心签署了《国有土地收购合同》(郑开土储收字【2019】21号)。
银湖铝业与郑州高新技术产业开发区土地储备中心依据郑州市人民政府《关于河南省银湖铝业有限责任公司高新区地块收储问题的会议纪要》([2019]117号)精神,本宗土地的出让成交单价参照附近地块评估综合单价(803.7万元/亩)计算。
上述土地收购补偿款共计约5.08亿元,其中:可出让部分的面积为169.596亩,补偿款共计约4.986亿元;绿地面积19.807亩,补偿价格为960.6359万元;道路面积2.844亩,不再补偿。
郑州高新技术产业开发区土地储备中心将于合同签订后、交付土地后和土地出让完成成本决算后三个节点,向银湖铝业分别支付土地补偿款的80%、10%和10%。
此次银湖铝业与郑州高新技术产业开发区土地储备中心签订《国有土地收购合同》签订完成并生效后,公司将于2019年12月31日前将土地所有权转移给郑州市高新区储备中心并完成土地证的注销,预计将增加公司2019年度归属母公司净利润约2.5亿人民币。
